Terms of Sale

Effective Date: July 2, 2025

By purchasing a license for the eShiftMetrics Connect IQ application ("App"), you agree to these Terms of Sale.

1. Payment and Refunds

Final Sale: Except where required by law, all sales are final with no refunds. We may provide refunds at our sole discretion.

Payment Security: Payments are securely processed by third-party providers. We do not store payment information.

2. License Types and Coverage

One-Time Purchase: This is a one-time purchase with no recurring fees. Your license is valid as long as the App is available and you follow the terms.

Individual License:: Grants access to the Pro version of the App to a single Garmin account and all of its devices.

Team License: Grants access to the Pro version of the App for up-to 40 Garmin accounts and all of their devices.

License Activation: Licenses are activated using the email address and license key provided at purchase.

3. License Restrictions and Sharing Policy

Individual Licenses: May not be shared with others or used on accounts other than the purchaser's Garmin account.

Team Licenses: May only be shared with members of your organization or team.

You may not:

• Post license keys on forums, social media, or other public platforms
• Distribute licenses to unknown third parties or general public communities

If you violate these rules: We reserve the right to immediately revoke your license without notice, permanently suspend access for the associated Garmin account(s), and deny future purchases, all without providing a refund.

4. Service Availability and Support

No Warranty: The App is provided "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation.

Compatibility: Designed for Garmin devices that can pair with electronic shifters following the ANT+ Shifting standard. Future compatibility not guaranteed.

Service Duration: We reserve the right to discontinue the App or specific features at any time.

5. Errors and Corrections

Pricing/Order Errors: In the event of an error in pricing, product information, or order processing, we reserve the right to:

• Correct the error and revise your order accordingly (including charging the correct price)
• Cancel the order and refund any amount charged
• Contact you for instructions on how to proceed

6. Intellectual Property

Ownership: The App, including all software, documentation, and related materials, remains our intellectual property.

Limited Use: Your license grants you only the right to use the App in accordance with these terms. You may not reverse engineer, modify, or redistribute the App.

7. Data and Privacy

Data Processing: We process data in accordance with applicable privacy laws and our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or use, even if we have been advised of the possibility of such damages.

9. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law principles.

10. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11. Modifications

We reserve the right to modify these terms at any time without notice. Continued use of the App after changes constitutes acceptance of new terms.
